This Privacy Policy has been established by Mitra9 Brands LLC (the “Company” “Mitra9” “we” “our” or “us”) to explain how we may collect, retain, process, share, and transfer information collected from you when you use our services, including your use of www.Mitra9.com and such other of our websites, mobile applications, emails, social media profiles, and other online offerings (collectively, our “Services”) and the purchase of Mitra9 products through such Services (collectively, our “Products”), and allow you to make an informed decision about how you will use our Services. By accessing our Services, you are agreeing to this Privacy Policy and our [hyperlink: Terms of Services] (our “Terms”). Capitalized terms not defined herein shall have the meanings ascribed to them in our Terms. We encourage you to periodically review this Privacy Policy for updates and to ensure that you are familiar with its terms. If you do not agree to this Privacy Policy, please discontinue accessing or using the Services. This Privacy Policy is not applicable to third-party Content, properties, or websites, applications, and services that contain other privacy policies. Section 1. Summary Information

This Privacy Policy explains and describes how we collect, retain, process, share, and transfer information collected from you when you use our Services, including to purchase our Products. We recommend you review the entirety of our Privacy Policy to get a complete understanding, but the core features of our privacy practices are as follows:

• To the extent that we collect information, including Non-Personal Information and Personal Information (both defined below) from you, this may be done in three ways: information that we collect in connection with your use of our Services, information that you provide to us, and information we obtain about you from other third parties.

• Your Personal Information may be shared by us with third parties in many ways, including to provide you with the Services, fulfill your orders for Products and Services from us (if applicable), or for our or their own purposes. To learn more about our rights to share your information, please see the How Do We Share This Information? section below. 

• In some circumstances, including as required by law, we allow you to review and update your Personal Information by contacting us at privacy@mitra-9.com.

• While we use commercially reasonable efforts to secure your information, we cannot guarantee and you should not expect, that your information will remain secure or otherwise inaccessible to third parties at all times and in all circumstances.

• Our Services are not directed to individuals under the age of 18 (and 21 in some states, counties, and cities, as set forth in our Terms). Please see the Age Limitation section below for further information regarding our policy in this regard.

Section 2. What Information Do We Collect? 

We may collect information about you in three ways: information we gather from your use of our Services, information you provide to us, and information collected from other third parties, each as further described below. This information may include “Personal Information” and “Non-Personal Information.” For purposes of this Privacy Policy, “Personal Information” means information that you provide to us that personally identifies you, such as your first and last name, email address, physical address, telephone number, and billing or payment information, as well as such term or similar terms are defined under applicable privacy laws. For purposes of this Privacy Policy, “Non-Personal Information” means information that does not specifically identify you. The information we collect about you may include the following: 

• Information you provide us. We collect the content, communications, and other information you provide when you contact us, participate in surveys, or otherwise utilize any portion of our Services that requires you to provide us with your information, including without limitation, your email address, your name, address, email address, age, birth month and year, state of residence, phone number, Service passwords, and in certain circumstances, payment and billing information. 

• Information we obtain from your use of our Services. We collect information about the Services that you use and how you use them. This information includes: 

• Device Data. We collect device data such as information about your computer, phone, tablet, or other device you use to access our Services. Depending on the device you use, this device data may include information such as your IP address (or proxy server), user settings, MAC address, device and application identification numbers, location, browser type, hardware model, Internet service provider, and/or mobile carrier, operating system, and system configuration information.

• Log and Usage Data. Log and usage data is service-related, diagnostic, usage, and performance information our servers automatically collect when you access or use our Services and which we record in log files. Depending on how you interact with us, this log data may include your IP address, device information, browser type, cookie identifiers, and settings and information about your activity in the Services (such as data/time stamps associated with your usage, pages and files viewed, searches, and other actions you take, including your use of particular features we offer), device event information (such as system activity, error reports, and hardware settings), mobile advertising, and other unique identifiers, and other information about how you use our Services.

• Location Data. We collect location data such as information about your device’s location, which can be either precise or imprecise. How much information we collect depends on the type and settings of the device you use to access our Services. For example, we may use GPS and other technologies to collect geolocation data that tells us your current location (based on your IP address). You can opt out of allowing us to collect this information either by refusing access to the information or by disabling your Location setting on your device. However, if you choose to opt-out, you may not be able to use certain aspects of our Services and/or purchase our Products.

• Cookies, Pixel Tags/Web Beacons, Analytics Information, and Interest-Based Advertising technologies.  We, as well as third parties that provide content, advertising, or other functionality on the Services, may use cookies, pixel tags, local storage, and other technologies (“Technologies”) to automatically collect information through the Services. For more information about our use of Technologies and analytics information, please see Section 5 below.

• We may obtain information about you from other sources, including through third-party services and organizations to supplement information provided by you. For example, if you access our Services through a third-party login service or a social networking site, we may collect information about you from that third-party service that you have made public via your privacy settings. Information we collect through these services may include your name, your user identification number, your username, location, gender, birth date, email, profile picture, and your contacts stored in that service. This supplemental information allows us to verify the information that you have provided to us and to enhance our ability to provide you with information about our business, Products, and Services.

Section 3. How Do We Use This Information?

We are able to deliver, personalize, and improve our Services by combining and using the information that we have about you to understand how you use and interact with our Services.  We also may use the information that we have about you for the following purposes:

• To provide, maintain, improve, and develop relevant features, content, and Services, including customized materials that may be of specific interest to you based on your information.

• To fulfill and service your orders for Products and/or Services you purchase, including processing your financial information and other payment methods. 

• To communicate with you by responding to your requests, comments, and questions, including through any contact information (email or mobile text number) you provide us. 

• To serve you advertisements that are specific to you based on your information and preferences and to provide such information to third parties to help us connect with you to offer relevant advertising related to our Services and Products.

• To share your information with third parties to the extent needed to provide you with the Services and/or Products and any third-party services or advertising made available through the Services, including personalized advertising.

• To create analytics and reports for internal purposes. These analytics and reports may include aggregate or anonymous information.

• To detect and defend against fraudulent, abusive, or unlawful activity.

• As necessary to comply with applicable laws and to enforce the terms of any agreement you have entered into with us, including our Terms.

• In connection with a merger or sale or potential sale of the Company with a third party.

• If you provide your phone number and contact names stored on your mobile device or tablet computer, we store and use this information to identify and inform you of those contacts who have also registered to use the services, along with such users’ full names and user names.

• In connection with Cross-Device Tracking, where Your use of our Services may be tracked across different websites and different devices or apps.

• Such other purposes as you have specifically consented to, are notified of or are disclosed when you provide your Personal Information to us.

In connection with the foregoing, we may combine your Personal Information that we have with other information that we obtain from service providers or other companies. We may also combine your Personal Information with Non-Personal Information. When Personal Information and Non-Personal Information are combined, such combined information will be treated as Personal Information for the duration of such combination.

Section 4. How Do We Share This Information? 

We will not share the Personal Information we collect about you with any third party for their own marketing purposes without your consent, which consent may be gathered at the time you initially use our Services or as and when you use particular types of our Services, or both. Except as set forth below, we do not sell, license, or share information that individually identifies our users with companies, organizations, or individuals outside of the Company and its affiliated entities. We will share your information in the following ways:

• Our vendors, subcontractors, and business partners (“service associates”): We may share your data with our services associates who process your Personal Information to provide portions of our Services to you, to fulfill our offers and orders for our Products and Services with respect to same, and/or to enable such service associates to provide their services to us or you or on our behalf, which services may constitute a part of our Services, including Shopify and/or ShippingEasy Fulfillment. We have contracts with our service associates that prohibit them from sharing the information about you that they collect or that we provide to them with anyone else or using it for other purposes, except where you have otherwise consented to their further use. 

• Advertisers and advertising networks:  Advertisers and advertising networks place ads (including sponsored links in search results) on or through our Services. These companies may collect information, such as your computer’s IP address, mobile identifiers, page(s) visited, location, time of day, browser information, and search queries, as you use our Services, including through the use of Technologies. We may also combine and share such information and other information (such as demographic information and past purchase history) with third-party advertising partners. These advertising partners may use this information (and similar information collected from other websites) for purposes of delivering targeted advertisements to you when you visit third-party websites within their networks and to send directly to your browser the advertisements and links that appear in the Services. They may also use other technologies (such as cookies) to measure the effectiveness of their advertisements and to personalize the advertising content you see. These advertisers may also use information regarding your use of the Services, such as the number of times you viewed an ad, to determine which ads to deliver to you. This practice is commonly referred to as “interest-based advertising” or “online behavioral advertising.” We may allow access to other data collected by the Services and share such information to the extent that it may be useful, relevant, valuable, or otherwise of interest to you. If you prefer not to share your personal information with third-party advertising partners, you may follow the instructions below in Sections 5 and 11.

• Companies within the Company’s group of companies:  We will not share your information with our parent company or any affiliates, including entities under common ownership or control of our ultimate parent company.

• Fraud prevention:  We may disclose the Personal Information we collect about our users, including you when we believe disclosure is necessary to investigate, prevent, or respond to suspected illegal or fraudulent activity or to protect the safety, rights, or property of us, our users, or others.

• Law enforcement purposes and public safety:  If requested or required by government authorities, such as law enforcement authorities, courts, or regulators, or otherwise to comply with the law, we may disclose any information we have about our users, including you. We may also disclose information collected about you in order to exercise or protect legal rights or defend against legal claims. We also may be required to disclose a user’s Personal Information in response to a lawful request by public authorities, including to meet national security or law enforcement requirements.

• Sale or merger of our business:  We may transfer your Personal Information to a third party if we or any of our affiliates are involved in a corporate restructuring (e.g., a sale, merger, or other transfer of assets) or in connection with financing due diligence, reorganization, bankruptcy, or receivership.

Any transfer of your information will comply with applicable law in all cases. We disclaim and shall have no liability or obligation in connection with any third-party actions or omissions concerning your information, even if those acts or omissions are a result of our sharing and disclosure your information, as allowed pursuant to this Privacy Policy. Any Non-Personal Information we collect may be shared by us publicly and with others. 

Section 5. How Do We Use Cookies, Tracking Technologies, and Analytics Services? 

We, as well as third parties that provide content, advertising, or other functionality on the Services (including service associates and advertisers), may use cookies, pixel tags, local storage, and other technologies (“Technologies”) to automatically collect information through the Services. Technologies are essentially small data files placed on your computer, tablet, mobile phone, or other devices that allow us and our partners to record certain pieces of information whenever you visit or interact with our Services. 

A “cookie” is a small file containing your preferences that is sent to your browser and sent back by your browser each time your browser accesses our servers. When you visit our Services, we may send your computer or mobile device a cookie that uniquely identifies your browser. Cookies that we may use may only be read by the server that placed them there. Our use of technologies, including cookies, may generally be grouped into one of the following categories:

• Operationally Necessary. This includes Technologies that allow you access to our Services, applications, and tools that are required to identify irregular site behavior, prevent fraudulent activity, and improve security or that allow you to make use of our functionality;

• Performance Related. We may use Technologies to assess the performance of our Services, including as part of our analytic practices to help us understand how our visitors use the Services;

• Functionality Related. We may use Technologies that allow us to offer you enhanced functionality when accessing or using our Services. This may include identifying you when you sign into our Services or keeping track of your specified preferences, interests, or past items viewed;

• Advertising or Targeting Related. We may use first-party or third-party Technologies to deliver content, including ads relevant to your interests, on our Products and/or Services, or on third-party sites.

By way of example, we use cookies to deliver our Services in your language of choice, to filter results and fulfill other preferences you may have, and to analyze how our users, including you, interact with our Services, such as by tracking user trends and patterns of how people search. Many browsers are set up to accept cookies unless the user changes the settings for cookies. You have control over this and can set your preferences to indicate when a cookie is being sent or to refuse altogether. The use of a pixel allows us to record, for example, that a user has visited a particular web page or clicked on a particular advertisement. Common ID Cookie 

Certain of our Services may also use cookies and similar tracking technologies such as the Common ID cookie.  The Common ID cookie stores a unique user ID in the first-party domain and is accessible to our ad partners. This simple ID can be utilized to improve user matching in connection with ad delivery from our third-party advertisers. These cookies are important devices for measuring advertising effectiveness and ensuring a robust online advertising industry. You can opt out of the Common ID tracking cookie by clicking here. We may currently or in the future use web analytics companies to assist us in measuring the effectiveness of our Services. This requires that we allow such web analytics companies to include their own pixel tags and cookies on the Services. These web analytics companies collect information from pixel tags and cookies such as click-throughs by users and other similar information. We use this information to help us learn things like overall user preferences, click-through rates means to improve our Services, and the types of offers that are of most interest to our users.  We control how that data may be used, notwithstanding its collection by third-party web analytics companies. Specifically, we may use Google Analytics to collect information regarding visitor behavior and visitor demographics on our Services. Section 6. How Long Do We Keep the Information? 

We will keep your information only for as long as it is necessary to fulfill the purposes of use described above unless longer retention is required or permitted by law. In determining how long to retain information, we consider the amount, nature, and sensitivity of the information, the potential risk of harm from unauthorized use or disclosure of the information, the purposes for which we process the information, applicable legal requirements, and our legitimate interests. The purposes for which we process information (as well as the other factors listed above) may dictate different retention periods for the same types of information. For example, we retain your email address as an authentication credential (where applicable) as long as you have an account with us and an additional period of time after that for our legitimate interests, and for our fraud and legal compliance purposes. If you opt out of email marketing, we maintain your email on our suppression list for an extended time to comply with your request. We may also choose to anonymize certain information you provide to us so that it can no longer be attributed to you if we would like to retain it for longer periods of time.

Section 7. How Do We Protect Your Personal Data? 

We take the protection of your Personal Information very seriously. Only our employees, contractors, service associates, and agents will have access to your Personal Information, except as otherwise provided for in this Privacy Policy. We maintain technical, physical, and administrative security measures designed to provide reasonable protection for your personal data against loss, misuse, unauthorized access, disclosure, and alteration. The security measures include firewalls, data encryption, physical access controls to our data centers, and information access authorization controls. While we are dedicated to securing our systems and Services, you are responsible for securing and maintaining the privacy of your password, if any, used in connection with your use of our Services. While we take precautions against possible breaches in our Services and databases, we cannot guarantee that it is completely secure. We are not able to assure you that unauthorized hacking, access, data loss, or other breaches will never occur. As such, your use of our Services is at your own risk. You are encouraged to protect your Personal Information when you are on the Internet, including making sure you use a secure Internet browser.

Section 8. Third-Party Practices

The Services may contain links to other websites and online offerings offered by third parties (“Third Party Offerings”), and other Third Party Offerings may reference or link to our Services. These Third Party Offerings are not controlled by us. We encourage you to read the privacy policies of each Third Party Offering with which you interact. We do not endorse, screen, or approve and are not responsible for the privacy practices or content of such other Third Party Offerings. Visiting or using these Third Party Offerings is at your own risk. We assume no responsibility for the actions or omissions of these third parties, whether they receive such information from us directly or otherwise (such as through Technologies), except as specifically set forth herein. You should direct any questions you have about such third parties’ privacy practices and/or software directly to such third parties. In addition, social media buttons such as Google, Facebook, or X (formerly Twitter) (that might include widgets such as the “share this” button or other interactive mini-programs) may be on our Services. These features may collect your IP address, and which page you are visiting on our site, and may set a cookie to enable the feature to function properly.  These social media features are either hosted by a third party or hosted directly on our site. Your interactions with these features apart from your visit to our site are governed by the privacy policy of the company providing it.

Section 9. Age Limitations. 

Our Services are not directed to persons under the age of 18 (21 in Utah and Tennessee and as otherwise set forth in our Terms). We do not knowingly collect information, including Personal Information, from children or other individuals who are not legally able to use our Services. If we obtain actual knowledge that we have collected Personal Information from a person under the age of 18, we will promptly delete it, unless we are legally obligated to retain such data. Section 10. Jurisdiction and International Data Transfers 

We do not represent or warrant that our Services are appropriate or available for use in any particular jurisdiction. Those who choose to access the Services do so on their own initiative and at their own risk and are responsible for complying with all local laws, rules, and regulations. We may limit access to our Products and Services, in whole or in part, to any person, geographic area or jurisdiction we choose, at any time and in our sole discretion. Please see our Terms for specific geographic areas where our Products are not available for sale under any circumstances. The Company may transfer your Personal Information to countries other than the one in which you live. In particular, your Personal Information will be transferred to and processed in the United States where many of our central databases operate. By using our Services, you are consenting to such cross-border data transfers of your Personal Data, as set forth in this Privacy Policy.  By using the Services, you acknowledge that the data protection and other laws of other countries, such as the United States, may provide a less comprehensive or protective standard of protection than those in your country, and consent to your Personal Information being collected, processed and transferred as set forth in this Privacy Policy and US law.  

Section 11. Accessing, Reviewing, and Changing Your Personal Information. 

Depending on what country (countries located in the European Economic Area for instance) or state (California or Virginia for instance) you are located in, you may have certain legal rights in relation to your Personal Information. You may have the right to request access to your Personal Information that we retain, as well as to seek to update, delete, or correct this Personal Information, subject to certain exemptions provided by law. We cannot guarantee that you will be given access to your Personal Information in all circumstances, except those mandated by law. Additionally, if we are unable to verify your identity or are required to retain certain of your information by law, we may not be able to modify or delete your Personal Information but will do so in all cases required by applicable law. 

European Union Residents

We are a controller for purposes of the General Data Protection Regulation 2016/679 and any implementing legislation (the “GDPR”). You can also contact us via email at privacy@mitra-9.com. With respect to the Personal Information we collect from you, we are relying on one of the following as our legal basis to do so:

• You have consented to such collection and processing; which consent is given by your acceptance of our Terms and this Privacy Policy.

• We need the data to perform the Services and/or provide our Products requested by you or to complete other transactions requested by you.

• We have a legitimate interest in using the data in the normal manner you would expect in connection with using a service like ours.

• We need to process your data to comply with a legal requirement.

As an EU resident, GDPR affords you the following rights:

• Right to Access, which includes the right to request that we provide you with the Personal Information we have about you, the ways in which we use it, and who we share it with.

• Right to Rectification, which means you can require us to correct inaccurate Personal Information that we have about you.

• Right to Portability, which means you can request a copy of the data we have about you in a structured, machine-readable format and to ask us to send this data to another data controller.

• Right to Erasure, which means you have the right to require us to delete your Personal Information (unless prohibited by law or necessary for our legitimate purposes, including the continued provision of the Services to you).

• Right to Withdraw Consent, which means you can withdraw your consent for us to process your Personal Information.

• Right to Restrict Processing, which means you can require us to cease processing your Personal Information while undertaking rectification of such data or if we are relying on our legitimate interest to do so or if we are not fulfilling your right to erasure based on legal compliance issues.

California Residents Shine The LightUnder California Civil Code Section 1798.83, which is also known as the “Shine The Light” law, users who are California residents may request from us a list of the Personal Information (if any) that we have disclosed to third parties for direct marketing purposes during in the preceding calendar year, this includes the names and addresses of such third parties. Requests may be made only one time per year. These requests are free of charge. To make a request, please contact us at privacy@mitra-9.com or at the address or phone number set forth below. We cannot be responsible for notices that are not labeled or sent properly or that do not have complete information. In the body of such request, you must put the statement “Your California Privacy Rights”, as well as your name, street address, city, state, and zip code, and you must provide enough information for us to determine if this applies to you. Additionally, you must attest to the fact that you are a California resident and provide a current California address. 

California Consumer Privacy Act (CCPA) If you are a resident of California, you also have certain additional rights under the California Consumer Privacy Act of 2018, as amended (CCPA), including the right:

• to know whether we collect and use your personal information;

• to know the categories of personal information we collect (see table below);

• to know the purposes for which the collected personal information is used;

• to know whether we have sold, shared, or disclosed data about you with third parties;

• to know the categories of personal information that we have sold, shared, or disclosed data about you;

• to know the categories of third parties to which we have sold, shared, or disclosed data about you;

• to know the business or commercial purpose for collecting, selling, or sharing personal information;

• to access all data we collect about you;

• to opt out of our sale of any of the information we collect about you to third parties; and

• to have us delete any personal data (as defined under the CCPA) that we have collected about you.

When you assert your right to request information, you must confirm that you are a resident of the State of California. We reserve the right to request that you provide further evidence as a resident of California before acting on your request.  We will respond to your request within 45 days and will include the categories of third parties to which we have sold data about you. If you are using an authorized agent to exercise your rights to opt-out we may deny a request if such authorized agent does not submit proof that they have been validly authorized to act on your behalf. For purposes of compliance with applicable federal and state laws, including CCPA, we note that we have collected the following categories of personal information in the past twelve (12) months:

We will use and retain the collected personal information as described in Section 6 below, but in any case for no longer than 2 years unless retention is required to meet legal or regulatory requirements or needs. We may disclose your personal information with our service providers (as defined under CCPA) pursuant to a written contract between us and each such service provider which requires such service provider to abide by the data protection obligations of the CCPA. We may use your personal information for our business purposes, as more particularly described in Section 3 above. Such use is not a “sale” of your personal information under the CCPA. We will not discriminate against you if you exercise any of your privacy rights pursuant to CCPA. California Do-Not-Track Disclosure Requirements. We are committed to providing you with meaningful choices about the information collected on our Services for third-party purposes, and, as such, we provide links to the Network Advertising Initiative’s Consumer Opt-out link, the Digital Advertising Alliance’s Consumer Opt-out link, and the Google opt-out link information in Section 5 above. However, we do not recognize or respond to browser-initiated Do Not Track signals, as the Internet Industry currently is still working on Do Not Track standards, implementations, and solutions.

Virginia Residents and the Virginia Consumer Data Privacy Act (VCDPA)

Under the VCDPA: “Consumer” means a natural person who is a resident of the Commonwealth of Virginia acting only in an individual or household context. It does not include a natural person acting in a commercial or employment context.“Personal Data” means any information that is linked or reasonably linked to an identifiable natural person. “Personal Data” does include de-identified data or publicly available information.“Sale of personal data” means the exchange or personal data for monetary consideration. If the above definition of “consumer” applies to you, we will adhere to the rights and obligations imposed on us pursuant to the VCDPA regarding your Personal Data. Please see Sections 2-4 above with respect to the types of Personal Data we collect, how we use that Personal Data, and when and with whom we share your Personal Data.

Your rights under the VCDPA with respect to your Personal Data include the right to:

• Be informed whether or not we are processing your Personal Data;

• Access your Personal Data;

• Correct inaccuracies in your Personal Data;

• Request deletion of your Personal Data;

• Obtain a copy of the Personal Data you have shared with us previously;

• Opt out of the processing of your Personal Data if it is used for targeted advertising, the sale of personal data, or profiling in furtherance of decisions that produce legal or similar significant effects (“profiling”).

Mitra9 has not sold Personal Data to third parties for business or commercial purposes but reserves the right to do so in the future, subject to its receipt of your consent to do so, as described above.
